Terms and Conditions

These Master Terms and Conditions (the “Master Terms”) govern the use of SIAGIS websites, portals, online stores, information, products and services. By using a SIAGIS service, submitting information, placing an order or accepting a quotation, you agree to the terms that apply to that activity.

1. SIAGIS and the agreement framework

“SIAGIS”, “we”, “us” and “our” mean SIAGIS LLC. These Master Terms apply across SIAGIS departments and digital services. A service-specific addendum, accepted quotation, purchase order, statement of work, assignment letter or signed agreement may add to these Master Terms. A signed agreement prevails on an expressly inconsistent commercial matter. A service-specific addendum prevails only for the activity it governs. Mandatory law always applies.

2. Website information and acceptable use

Website content is provided for general information and may be corrected or updated without notice. It is not a binding offer unless SIAGIS confirms it in an accepted order, quotation or agreement. Users must not misuse a website or portal, bypass access controls, introduce malicious code, scrape or resell content or data, impersonate another person, or use a SIAGIS service for an unlawful purpose.

3. Quotations and professional services

The applicable quotation, proposal or contract defines scope, deliverables, assumptions, schedule, fees, taxes, payment terms, client responsibilities, acceptance criteria and change control. Work begins only after the required commercial approval. Changes to scope, access, site conditions, instructions or dependencies may affect price and schedule. Each party must provide timely, accurate information and lawful access needed for delivery.

4. Products, online orders and delivery

Product descriptions, images, specifications, stock and delivery estimates are subject to confirmation. An order is accepted only when SIAGIS confirms it. Prices, taxes, shipping, payment, title, risk, inspection, warranty, return and cancellation terms are those shown at checkout or in the accepted order or quotation. Manufacturer terms may apply. Nothing in these Master Terms excludes a non-waivable consumer right.

5. Recruitment and workforce services

Recruitment, applicant, client, placement and offshore-workforce activities are also governed by the SIAGIS Recruitment Services Addendum and Privacy Notice. That addendum explains candidate, client and portal responsibilities and applies only to those services.

6. Accounts, communications and electronic records

Account access is personal to the authorised user. Users must protect access credentials and verification codes and promptly report suspected misuse. SIAGIS may rely on electronic acceptance, authenticated portal actions, emails, audit records and digital documents to the extent permitted by law. Operational communications may be sent when necessary to provide, secure or administer a service.

7. Intellectual property and client materials

SIAGIS branding, website content, software, designs and original materials belong to SIAGIS or the relevant rights holder. No licence is granted except the limited right needed to use the relevant service. Each client retains ownership of materials it lawfully supplies and grants SIAGIS the permission required to perform the agreed work. Third-party software, data and content remain subject to their owners’ terms.

8. Privacy, confidentiality and security

SIAGIS handles personal data in accordance with its Privacy Policy, applicable service notices and mandatory law. Non-public commercial, technical, candidate and client information may be used only for the authorised purpose. Users must not disclose protected information to unauthorised persons. SIAGIS applies reasonable administrative, technical and organisational safeguards, but no internet or third-party service can be guaranteed completely secure.

9. Third-party services and links

SIAGIS services may use or link to third-party systems, payment services, hosting, manufacturers, Microsoft services or other providers. Their availability and separate terms are controlled by those providers. A link or integration does not make SIAGIS responsible for unrelated third-party content or conduct.

10. Warranties and responsibility

SIAGIS will use reasonable professional care in providing an accepted service. Except for an express warranty in an accepted agreement and any warranty that cannot lawfully be excluded, services and general website information are provided without additional implied guarantees. Clients remain responsible for decisions, approvals and matters within their control.

11. Limitation of liability

To the maximum extent permitted by law, SIAGIS is not liable for indirect or consequential loss, or loss of profit, opportunity, data or goodwill, arising solely from use of general website information or a matter outside SIAGIS’s reasonable control. For an accepted service, any agreed liability limit in the signed contract applies. Where no signed limit exists, SIAGIS’s aggregate liability for that service is limited to the professional fees paid to SIAGIS for the affected service during the preceding 12 months. These limitations do not apply to fraud, wilful misconduct or liability that mandatory law does not permit to be limited.

12. Suspension and termination

SIAGIS may suspend access, an order or a service where reasonably necessary for security, non-payment, legal compliance, safety, misuse or protection of another person’s rights. Termination rights, charges and transition duties in an accepted agreement continue to apply. Terms concerning payment, confidentiality, intellectual property, privacy, audit records, liability and disputes survive where their nature requires.

13. Governing law and disputes

Unless a signed agreement states otherwise, these Master Terms and the SIAGIS service relationship are governed by UAE federal law and the law applicable in the Emirate of Sharjah. The courts of Sharjah have jurisdiction, subject to mandatory jurisdiction rules or an agreed arbitration clause. Mandatory laws of a country where a service is performed continue to apply and are not waived.

14. Updates and contact

SIAGIS may update these Master Terms prospectively. Material changes will be identified by a revised version or effective date and, where required, renewed acceptance.
